Terms of Service

These Terms govern your use of the Vinships platform and the purchase of discounted UPS and FedEx shipping labels. Please read them carefully before using our Services.

Important: Vinships is a shipping label reseller — not a carrier. All shipments are physically handled by UPS or FedEx and are subject to their respective terms of service. Vinships is not liable for lost, damaged, or delayed packages. Claims must be filed with the carrier.

1. Acceptance of Terms

By accessing or using the Vinships platform, website, or any related services (collectively, the "Services"), you ("Customer," "User," or "you") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services. Your continued use of the Services constitutes ongoing acceptance of any updates to these Terms.

2. Description of Services

Vinships is a third-party shipping label reseller. We provide discounted UPS and FedEx shipping labels to businesses and individuals through our platform. Vinships is NOT a carrier or freight forwarder.

Important: All shipments made using labels purchased through Vinships are governed by the applicable carrier's (UPS or FedEx) terms and conditions, service guides, and tariff schedules, in addition to these Terms. By purchasing a label through Vinships, you agree to comply with all applicable carrier terms.

  • Vinships provides access to discounted shipping labels on behalf of its carrier accounts.
  • All physical shipment operations, including pickup, transit, and delivery, are performed solely by the applicable carrier (UPS or FedEx).
  • Vinships does not take possession of, handle, or transport any packages.
  • Rates displayed on the platform are estimates based on provided shipment details. Final charges may vary based on actual package characteristics and carrier billing.

3. Account Registration & Security

To use the Services, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You must be at least 18 years of age and legally capable of entering into binding contracts.
  • You agree to notify Vinships immediately of any unauthorized use of your account.
  • Vinships will not be liable for any losses caused by unauthorized use of your account.
  • You may not share, sell, or transfer your account to any third party.
  • One account per business entity. Creating duplicate accounts to circumvent restrictions is prohibited.

4. Customer Responsibilities

You are solely responsible for ensuring the accuracy of all shipment information entered into the platform. Vinships relies entirely on the data you provide to generate labels. Errors in shipment data are your responsibility.

4.1 Accurate Shipment Information

  • You must provide the correct origin and destination addresses, including ZIP codes, suite/apartment numbers, and recipient names.
  • Declared package weight must reflect the actual weight of the fully packaged shipment. Understating weight to reduce label cost is prohibited.
  • Declared package dimensions (length × width × height) must be accurate. Carriers apply dimensional weight (DIM weight) billing for packages where volumetric weight exceeds actual weight.
  • You are responsible for selecting the correct service level (e.g., Next Day Air, Ground) for your intended delivery timeline.

4.2 Packaging Compliance

  • All packages must be properly packaged according to carrier guidelines to withstand the rigors of shipping.
  • Labels must be affixed to the largest flat surface of the package and must be scannable.
  • Labels may not be covered by tape, shrink wrap, or any material that obscures barcodes.
  • For fragile or high-value items, appropriate internal cushioning is required.

4.3 Regulatory Compliance

You are solely responsible for ensuring your shipments comply with all applicable federal, state, and local laws, as well as all carrier regulations. This includes but is not limited to customs requirements, hazardous materials regulations, and import/export restrictions.

5. Prohibited & Restricted Items

You may NOT ship the following categories of items using labels purchased through Vinships. Shipping prohibited items may result in immediate account termination, forfeiture of the label purchase price, liability for carrier fines, and potential legal action.

Absolutely Prohibited (no exceptions):

  • Illegal drugs, controlled substances, or drug paraphernalia
  • Firearms, ammunition, or explosive devices of any kind
  • Human remains, body parts, or biological specimens (except properly documented medical samples via approved programs)
  • Currency, negotiable instruments, or gift cards exceeding $100 in face value
  • Counterfeit goods or items infringing intellectual property rights
  • Child exploitation material or any illegal content
  • Items subject to export control without proper export licenses
  • Stolen goods or any property involved in criminal activity

Restricted Items (require special handling / carrier approval):

  • Hazardous materials (HAZMAT) — Vinships labels are NOT authorized for HAZMAT unless specifically noted
  • Lithium batteries (standalone) — require proper classification and packaging per IATA/DOT regulations
  • Perishable items — shipper assumes all risk; proper insulated packaging required
  • Live animals — not accepted via standard services; requires carrier-specific programs
  • Alcohol — requires carrier alcohol program enrollment; cannot be purchased via Vinships
  • Tobacco products — subject to state regulations and carrier restrictions
  • Prescription medication — must comply with applicable pharmacy and carrier regulations
  • High-value items (jewelry, collectibles, artwork) exceeding declared value limits

This list is not exhaustive. You are responsible for reviewing the carrier's full prohibited and restricted items lists at ups.com and fedex.com before shipping.

6. Pricing, Payment & Billing Adjustments

6.1 Label Pricing

Label prices displayed on the Vinships platform are based on the shipment information you enter (origin, destination, weight, dimensions, service level). All prices are in USD. Payment is due in full at the time of label purchase.

6.2 Carrier Billing Adjustments

After a shipment is processed by the carrier, the carrier may audit the package and apply billing adjustments for discrepancies between the information declared at the time of label purchase and the actual package characteristics. These adjustments are non-negotiable and will be passed through to your Vinships account.

Common causes of billing adjustments include:

  • Actual weight exceeding declared weight
  • Dimensional (DIM) weight exceeding the declared weight
  • Address corrections applied by the carrier for undeliverable or incomplete addresses
  • Delivery area surcharges (DAS) for remote or extended delivery zones
  • Residential delivery surcharges applied when commercial address was selected
  • Additional handling charges for non-standard package dimensions or weight
  • Fuel surcharge changes applied post-shipment
  • Return-to-sender fees for packages that cannot be delivered

Billing adjustments are typically processed within 30-60 days after shipment and will be charged to your account's payment method on file. Vinships charges no markup on carrier-initiated billing adjustments.

6.3 Payment Methods

  • Accepted payment methods include major credit/debit cards (Visa, Mastercard, American Express) and ACH bank transfers.
  • For billing adjustments, your stored payment method will be automatically charged.
  • Accounts with failed payments will be suspended until balances are cleared.
  • Vinships reserves the right to require prepaid credit for accounts with a history of billing disputes.

7. Label Cancellation & Refund Policy

7.1 Unused Label Voids

  • Labels that have NOT been scanned by the carrier may be voided within 48 hours of purchase for a full refund.
  • To void a label, use the cancellation function in your Vinships dashboard before the label is scanned.
  • Refunds for voided labels are processed within 5-10 business days to the original payment method.

7.2 Non-Refundable Situations

  • Labels that have been scanned by the carrier (i.e., the shipment has been tendered) are non-refundable.
  • Labels voided more than 48 hours after purchase are non-refundable regardless of scan status.
  • Billing adjustment charges are non-refundable unless resulting from a documented carrier error.
  • Vinships is not liable for carrier delivery failures, delays, or misdeliveries and will not issue refunds for these scenarios.

7.3 Service Guarantee Claims

UPS and FedEx offer service guarantees on some express services. If a carrier fails to meet its service commitment, you may be eligible for a refund of transportation charges directly from the carrier. Vinships will assist you in filing service failure claims but cannot guarantee claim outcomes. Any refunds issued by the carrier will be credited to your Vinships account.

8. Liability & Claims for Loss or Damage

8.1 Carrier Liability

As a label reseller, Vinships' liability does not extend to the physical transport of packages. Claims for lost, damaged, or delayed packages are governed by the applicable carrier's terms of service and are subject to the carrier's declared value and liability limits:

  • UPS: Default liability of $100 per package without declared value. Declared value coverage available up to $50,000 per package.
  • FedEx: Default liability of $100 per package without declared value. Declared value coverage available up to $50,000 per package.
  • Additional declared value charges apply and must be selected at the time of label purchase.
  • Neither carrier guarantees payment of declared value claims — packages must be properly packaged to be eligible.

8.2 Filing a Claim

  • Claims for lost packages must be filed within 60 days of the shipment date for domestic UPS/FedEx services.
  • Claims for damaged packages must be reported and filed within 21 days of delivery.
  • You must retain all original packaging and packing materials until the claim is resolved.
  • Vinships will assist in facilitating claims but all final decisions rest with the carrier.
  • Track your claims via your Vinships dashboard or directly through the carrier's claim portal.

8.3 Vinships Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VINSHIPS' TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO VINSHIPS FOR THE SPECIFIC LABEL OR SERVICE GIVING RISE TO THE CLAIM. VINSHIPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL.

Vinships is not liable for: carrier delays, missed delivery commitments, weather-related disruptions, force majeure events, incorrect addresses provided by the customer, or prohibited items tendered to the carrier.

9. Prohibited Uses of the Platform

You agree not to use the Vinships platform for any of the following:

  • Generating shipping labels with no intent to ship (label farming or arbitrage)
  • Using Vinships labels for shipments that are resold or brokered to third parties without authorization
  • Creating fraudulent shipments or submitting false shipment data to obtain lower rates
  • Automated scraping, crawling, or data extraction without written permission
  • Circumventing rate restrictions through split shipments or other manipulative practices
  • Sharing account access with unauthorized third parties
  • Any activity that violates applicable laws or carrier policies
  • Attempting to reverse-engineer, decompile, or disassemble any part of the platform

Violation of these restrictions may result in immediate account termination, recovery of damages, and referral to law enforcement or carrier fraud departments.

10. Account Suspension & Termination

  • Vinships reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms.
  • You may close your account at any time by contacting support@vinships.com. Outstanding billing adjustments remain payable after account closure.
  • Upon termination, your right to access the platform ceases immediately.
  • Vinships will retain account and transaction records for a minimum of 7 years for tax and compliance purposes.
  • Accounts suspected of fraudulent activity may be suspended pending investigation without prior notice.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute, you agree to contact Vinships at support@vinships.com to attempt to resolve the issue informally. Vinships will use commercially reasonable efforts to resolve disputes within 30 days of receiving written notice.

11.2 Binding Arbitration

If informal resolution fails, any dispute arising from or related to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. The decision of the arbitrator shall be final and binding.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Vinships.

11.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12. Changes to These Terms

Vinships reserves the right to update or modify these Terms at any time. We will notify you of material changes via email to the address on file or by displaying a prominent notice on the platform at least 14 days before the changes take effect.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services before the effective date.
